Terms of Service

Last updated: October 3, 2026

1. Introduction

Welcome to Cycle Financial ("Cycle," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our billing infrastructure for complex pricing (collectively, the "Services").

By accessing or using Cycle, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. Please read these Terms carefully before using our platform.

Cycle is built for startups, businesses, and other organizations, not for consumers. If you accept these Terms on behalf of an organization, "you" means that organization, and you confirm that you have the authority to bind it to these Terms.

2. Your Representations

By using Cycle, you represent and warrant that:

  • You are at least 18 years old
  • You are using Cycle on behalf of a business or other organization, not as a consumer
  • You have the legal capacity and authority to enter into a binding agreement
  • You are using our Services for legitimate business purposes
  • All information you provide to us is accurate, current, and complete
  • You will comply with all applicable laws and regulations in your use of our Services
  • You are authorized to act on behalf of the organization for which you create or use an account

3. Description of Services

Cycle provides billing infrastructure for complex pricing to startups, businesses, and other organizations, including:

  • A billing graph that models your pricing as connected plans, prices, meters, entitlements, and customers
  • Support for subscriptions, usage-based pricing, seats, credits, tiers, minimum commits, and custom pricing, in any combination on a single plan
  • Real-time usage metering, with events aggregated by count, unique, or max and rolled up into billing
  • Billing and entitlement APIs, computed in real time from the billing graph
  • Tools for product and sales teams to launch new plans, run pricing experiments, and roll out custom deals without a deploy
  • Price versioning, so you can roll out new plans and grandfather existing customers

4. Pricing Configuration, Usage Data, and Your Customers

Cycle calculates billing from the pricing configuration and usage data you provide. You are responsible for:

  • The accuracy and completeness of your pricing models, plans, prices, meters, and entitlements
  • The usage events and other data you send to our APIs
  • The invoices and charges you issue to your own customers, and your agreements with them
  • Collecting and remitting any taxes on your sales
  • Having the rights and consents needed to send us information about your customers

You should review pricing changes, invoices, and entitlement outcomes before relying on them or making them available to your customers. Cycle is not a party to your agreements with your customers.

5. Account Registration and Security

5.1 Account Creation

To use Cycle, you must create an account and provide accurate, complete, and current information about yourself and the organization you represent. You shall keep all account information current, complete, and accurate. Failure to do so may result in denial, suspension, or closure of your account.

Accounts belong to organizations. Anyone you invite to your organization's account acts on its behalf, and your organization is responsible for their use of the Services under these Terms.

5.2 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and API keys
  • All activities that occur under your organization's account, including by the members you invite
  • Immediately notifying us of any unauthorized access or security breach
  • Ensuring that your account information is protected from unauthorized access

6. Acceptable Use

You agree not to use Cycle to:

  • Violate any applicable laws, regulations, or sanctions
  • Engage in money laundering, terrorist financing, or other financial crimes
  • Conduct any illegal or fraudulent business activities
  • Use the Services for personal purposes unrelated to your business
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our platform
  • Transmit malware, viruses, or other harmful code
  • Impersonate any person or entity
  • Interfere with or disrupt the Services
  • Circumvent any security measures or access controls

Violation of these restrictions may result in immediate termination of your account and may be reported to appropriate authorities.

7. Pricing and Payment

7.1 Fees

Our Startup plan is priced at 0.5% of your billing volume, up to $5M in billing volume. Enterprise pricing is custom and agreed with you separately. Current pricing is available on our website and may be updated from time to time. We will notify you of any changes to pricing that affect your account.

7.2 Billing

Fees are calculated on your billing volume and billed monthly. By providing a payment method, you authorize us to charge all applicable fees. If payment fails, we may suspend or terminate your access to the Services.

7.3 Taxes

You are responsible for all applicable taxes related to your use of the Services, except for taxes based on Cycle's income.

8. Data and Privacy

Your use of Cycle is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection, use, and disclosure of your data as described in the Privacy Policy.

You retain all rights to your data, including your pricing configuration, usage events, and customer records. We may use anonymized and aggregated data for product development, analytics, and improving our Services.

10. Third-Party Services

Cycle integrates with and relies on third-party services, including payment processors, other service providers, and the payment, accounting, CRM, or data tools you choose to connect. Your use of these third-party services is subject to their respective terms and conditions.

We are not responsible for:

15. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration administered by a recognized arbitration institution, except where prohibited by law.

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class action lawsuits or class-wide arbitration.
